We are running version 0.21.1 and would like to upgrade to the new 1.1.1 while at the same time installing it on a new server (running Windows Server 2008 R2). What is the best way to go about doing this? Can I simply copy the PopFile? folder(s) from the old computer to the new then run the installation program on the new computer? Or do I have to install a clean copy of the new version on the new computer and then somehow transfer the old data files to the new computer from the old?

Yes, you can do this. All you need to copy is the "user data" files and folders. By default the "User Data" files for 1.1.1 are stored in the user's application data area. Your 0.21.1 installation may store the files in a different location.
I think the easiest way to transfer the "user data" is to use my "User Data" Backup/Restore Utility. If you run this on your old computer it will generate a special installer for you. If you have some message history you can include this in the backup. This special installer can then be run on the new computer to install the user data.
If you prefer you can copy the necessary files yourself. POPFile 0.21.1 was able to store the "user data" separately from the program files but you may not have done this. The pfidiag.exe program will display a report which includes something like this:

Copy the "User Data" folder (which contains popfile.cfg and some other files and other folders) to the new computer.
Once the "user data" files have been installed on the new computer, run the POPFile 1.1.1 installer on the new computer. When the installer asks for the "User Data" location select the folder where you put the "user data" (popfile.cfg, etc) and the installer will configure POPFile 1.1.1 to use this data.
The 1.1.1 release uses a different database format and a different message history format from 0.21.1 so the upgrade may take a while (large databases may take 30 minutes or even longer to convert). The installer will display some progress messages during the upgrade.
